Representations and warranties

By using the Software or Services, you expressly represent and warrant that

1. You are legally entitled to enter this Agreement. The Service and Software are not available to children (persons under the age of 18).
2. You are at least 18 years old.
3. That you have the right, authority and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement.
4. You agree to comply with all applicable laws of the Federal Republic of Nigeria. You may only access the Services using authorized means.
5. It is your responsibility to check to ensure you download the correct Software for your device. The Company is not liable if you do not have a compatible handset or if you have downloaded the wrong version of the Software for your handset.
6. You will only use the Service or Software for lawful purposes; you will not use the Services for sending or storing any unlawful material or for fraudulent purposes. You will not use the Service or Software to cause nuisance, annoyance or inconvenience.
7. You will not copy, or distribute the Software or other content without written permission from the Company.
8. You will only use the Software and Service for your own use and will not resell it to a third party.
9. You will keep secure and confidential your account password or any identification we provide you which allows access to the Service.

Acceptance of Terms

When you purchase a logistics app on our website or via our authorised social media pages as a customer or client, you're agreeing to be bound by the following Terms and Conditions.

We reserve the right, at our sole discretion, to change or modify portions of these Terms and Conditions at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these terms were last revised. We will also notify you, either through the Services user interface, in an email notification or through other reasonable means. Any such changes will become effective no earlier than twelve (12) days after they are posted, except that changes addressing new functions of the Services or changes made for legal reasons will be effective immediately. Your continued use of the Service after the date any such changes become effective, constitutes your acceptance of the new Terms and Conditions.

You agree that your decision to use or purchase Software or Services is not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by us regarding future functionality or features.

Use of Service

Subject to your compliance with the Terms and applicable law, you may access and use the Services and Software that we make available, and that you license from us.

Fees and Pricing

The cost of owning a Parcelflow depends on the plan chosen as stated on the website or other means of communication.

By purchasing the app, you agree to pay MyLogisticApp a service fee of N100 per shipment occurring on the app. This fee is integral to and forms part of this Agreement and we reserve the right to revise our fees.

In the event that we revise our fees we will notify you within 5 days of such change.

Intellectual Property Ownership

The Company alone (and its licensors, where applicable) shall own all right, title and interest, including all related intellectual property rights, in and to the Software and the Services and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the Software or the Services.

This Agreement is not a sale and does not convey to you any rights of ownership in or related to the Software or the Service, or any intellectual property rights owned by the Company. The Company name, the Company logo, and the product names associated with the Software and Service are trademarks of the Company or third parties, and no right or license is granted to use them.

Account Confidentiality

You are responsible for maintaining the confidentiality of your password and account which grants you access to any product created by Parcelflow, and you are fully responsible for any and all activities that occur under your password or account. You agree to immediately notify Parcelflow of any unauthorized use of your password or account or any other breach of security. Parcelflow will not be liable for any loss or damage arising from your failure to comply with this Section.

In addition, when using certain services, you will be subject to any additional terms applicable to such services that may be posted on the Service from time to time, including, without limitation, the Privacy Policy located at https://parcelflow.com/privacy-policy and the FAQ Guide, which describes in detail how you may use the products and services provided by Parcelflow. All such terms are hereby incorporated by reference into these Terms and Conditions.

Content

Content means any text, information, or material, such as audio files, video files, electronic documents, or images, that you upload and import into, or create with the Services or Software in connection with or through your use of the Services. You must not upload any Content that is prohibited by any applicable law. We reserve the right to remove Content or restrict access to Content, Services, and Software if any of your Content is found to be in violation of these Terms. We do not review all Content uploaded to the Services or Software, but we may use available technologies, vendors, or processes to screen for certain types of illegal content (for example, child pornography) or other abusive content or behavior (for example, patterns of activity that indicate spam or phishing, or keywords that indicate adult content has been posted outside of the adult wall).

When you upload Content to the Services or Software, you grant us a nonexclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, publicly display, distribute, modify (so as to better showcase your Content, for example), publicly perform, and translate the Content.

Publicity

You hereby grant the company permissions to use your name and logo in our marketing materials including, but not limited to use on our website, in customer listings, in interviews and in press releases. Such publicity does not imply an endorsement for your products and services.

Internet Connection Mishaps

The company's service and software may be subject to limitations, delays, disruptions and other problems inherent in the use of the internet and electronic communications. The company is not responsible for any delays, delivery failures, or other damage resulting from such problems.

Indemnification

By accepting this terms and using the Service and the Application, the User shall indemnify the Company, our subsidiaries, affiliates, officers, agents, employees, partners indemnified against all demands, claims, action, proceedings, costs, charges or expenses including but not limited to penalties, storage charges, retrieval and administrative costs, duties and taxes incurred, arising out of or in connection with: (a) your violation or breach of any term of this Agreement or any applicable law or regulation, whether or not referenced herein; (b) your violation of any rights of any third party, including provision of courier services arranged via the Service or Software, or (c) your use or misuse of the Software or Service.

Applicable Law

These Terms shall be governed and construed in accordance with the laws of The Federal Republic of Nigeria, without regard to its conflict of law provisions.
